A. Extent and Restrictions.

Macro Books Online, LLC does not provide Investigative Auditing, Financial Investigation, or Fraud Examination services. 

Similarly, our consultation for Bookkeeping/Accounting services will not and cannot be relied on to unfold financial mistakes, inconsistency, or illicit activities such as fraud or embezzlement that may exist or occur within the course of our consultation, service and engagement. Insufficient or incorrect data submitted to Macro Books Online, LLC will have an impact on the operation of Macro Books Online, LLC's services. When such conditions are recognised when the services are being given, the Client will be alerted.

 

B. Services Consensus.

An Initial Onboarding meeting to review the clients chart of accounts will be scheduled with the Client and an Account Manager from Macro Books Online, LLC to review the services that the Client desires and the frequency with which they will be provided. We work diligently to meet your expectations after determining and discussing your individual needs. Every change will be reviewed and agreed upon during the Account Review Meeting and in writing.

 

The schedule of fees is detailed below:

A. Fees for professionals.

A comprehensive breakdown of the fees will be provided during the Client Onboarding Meeting after reviewing the chart of accounts. Fees are determined by the quantity of accounts maintained within the organisation or the client's total number of enterprises. A minimum induction fee is required prior to the commencement of employment. Changes regarding fees may occur without prior notice.

B. Aspects That Influence Fee Structure.

Further services could be rendered upon request. The pricing of Macro Books Online, LLC products is subject to change at any time in response to market conditions.

C. Charges

Additional expenses, such as travel costs, faxing, report production, or any other non-essential services, may be incorporated into our professional fees. Upon the receipt of monthly invoices, all charges would become owing and payable. Every fee would be communicated to you in advance prior to their assessment.

D. Terms of payment

The due date for all invoices is Upon Receipt. Debts that remain unpaid accrue interest at a rate of 2.5% per month (or 30% annually), calculated from the date of invoice to the entire amount that is past due.

 

The client or service provider (Macro Books Online, LLC) may commence the termination of services by providing a written notification, either by email or in writing, with a 30-day advance notice. An acknowledgment of the request will be sent via email. Within the 30-day notice period for terminating services, efforts will be made to finish ongoing tasks, if feasible. Furthermore, any future work may only be initiated upon written agreement that clearly outlines the terms and conditions of the desired services. If the notice period is shorter than 30 days, the average amount of the bill from the preceding month will be computed. Payments made more than 90 days ago are not eligible for refunds.

 

A. The Client agrees that Macro Books Online, LLC or any of the representatives of Macro Books Online, LLC, or any form of practice or action, shall have limited liability. The liability of Macro Books Online, LLC is restricted to the latest monthly invoiced amount for services provided and agreed upon, which is considered to be the sole remedy. According to this agreement, the client is prohibited from making any type of claims against Macro Books Online, LLC or any of its representatives, except for the latest monthly invoiced amount for services provided and agreed upon. Macro Books Online, LLC and its representatives will use this passage to completely prevent any such claims.

The Client understands and concurs that Macro Books Online, LLC and its representatives will not be held accountable for any damages arising from advice or work provided, whether directly or indirectly. The Client accepts this provision and agreement.

Under this agreement, both parties are prohibited from initiating any action or making any claims related to the services supplied, regardless of the format, if more than a year has passed from the last provision of services.

 

The client consents to Indemnify, hold harmless and exempt Macro Books Online, LLC, its affiliates, employees, and permitted successors from all liabilities and costs of any nature that are incurred as a result of misinterpretations, incomplete/ inaccurate information or fraud by management, which has led to losses or errors. This indemnification shall not be restricted to the term of the agreement.

The client consents to Macro Books Online, LLC and any Macro Books Online, LLC representative viewing or gaining access to information which might be regarded as confidential to the client in the course of his or her employment. In accordance with applicable laws, legal principles or a court order of appropriate jurisdiction, Macro Books Online, LLC and any representative thereof shall maintain the confidentiality of such information. The client agrees that Macro Books Online, LLC and/or any employee of Macro Books Online, LLC shall not be liable for any actions arising from their access to or viewing of the confidential information, unless Macro Books Online, LLC and/or any representative of Macro Books Online, LLC have not withheld the commitment as specified in this section.

 

The legality, interpretation, construction, impact, and all other aspects of this agreement letter shall be governed by the laws and judgments of Lewes, Delaware. If any legal action arises over any aspect or condition of this agreement, both parties agree that the courts of Sussex County, Delaware will have jurisdiction over such action.

 

This correspondence constitutes the entirety of the agreement reached by the parties, taking precedence over any written or verbal proposals as well as any other correspondence exchanged between them. The rest of the terms of this letter shall remain in effect in the event that a clause is deemed unenforceable.
